Welcome to Dextersoft ERP ("Platform"), operated by Dextersoft ("we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of the Dextersoft ERP platform, website, and related services available through dextersoft.com and company-specific workspaces (e.g. yourcompany.dextersoft.com).

By creating an account, subscribing to any application, or using the Platform, you agree to be bound by these Terms.

1. Definitions
Platform means Dextersoft ERP and all related software, services, websites, APIs, and applications.
Company means the registered business or organization using the Platform.
Workspace means the dedicated environment assigned to a Company.
Application (App) means any software module or service available within Dextersoft ERP.
Subscription means a recurring license granting access to an Application.
Usage-Based Service means a service billed according to actual usage rather than a recurring subscription.
User means any individual authorized by a Company to access its Workspace.
2. About Dextersoft ERP

Dextersoft ERP is a cloud-based Software-as-a-Service (SaaS) platform that enables businesses to subscribe to and use business applications through a dedicated Company workspace.

Each Company receives its own isolated workspace, generally accessible through a unique subdomain such as:

companyname.dextersoft.com

Companies may subscribe only to the Applications they require.

Applications may include, but are not limited to:

Accounting
Inventory Management
Point of Sale (POS)
Loan Management
Payroll
Fiscalisation
Customer Relationship Management (CRM)
Human Resources
Procurement
Due Diligence
Risk Intelligence
PDF Signing
Document Management
Any future applications released on the Platform
3. Eligibility

You must:

be at least 18 years old;
have authority to act on behalf of the Company;
provide accurate registration information;
comply with all applicable laws.
4. Company Workspaces

Each Company is assigned an independent Workspace.

Companies are responsible for:

managing their own users;
protecting login credentials;
activities performed within their Workspace;
maintaining accurate Company information.

Companies may not attempt to access another Company's Workspace.

5. User Accounts

Companies may create multiple user accounts for employees or authorized personnel.

Companies are responsible for:

assigning permissions appropriately;
disabling accounts when staff leave;
ensuring passwords remain confidential.

Dextersoft may suspend accounts that compromise platform security.

6. Licensing

Applications are licensed, not sold.

Purchasing an Application grants the Company a limited, non-exclusive, non-transferable license to use that Application during the active subscription or license period.

Ownership of all software remains with Dextersoft.

7. Subscription Applications

Certain Applications are billed on a recurring basis.

Billing periods may include:

Monthly
Quarterly
Semi-Annual
Annual
Multi-Year
Any other billing cycle specified during purchase

Subscriptions automatically renew unless cancelled before renewal.

Failure to pay may result in suspension or termination of access.

8. Usage-Based Services

Some services are billed according to actual usage.

Examples include:

API requests
AI requests
SMS messages
Email delivery
Digital signatures
Credit checks
Due diligence searches
Fiscalisation requests
KYC verifications
Identity verification
Background screening
Document generation
File storage
Transaction processing
Data imports
Any metered service introduced by Dextersoft

Usage charges are calculated using the pricing published at the time of use unless otherwise agreed in writing.

Companies agree to pay all applicable usage charges.

9. Pricing

Prices may differ between Applications.

Each Application may have its own:

subscription fee;
setup fee;
implementation fee;
usage fee;
support fee;
transaction fee.

Dextersoft may change pricing upon reasonable notice. Existing subscriptions may continue at their current pricing until renewal unless otherwise stated.

10. Payments

Payments may be made using supported payment methods.

Invoices must be paid by the due date.

Late payments may result in:

suspension of Applications;
restricted Workspace access;
additional late payment charges where permitted by law.

Taxes, VAT, or government levies are the responsibility of the Company unless stated otherwise.

11. Free Trials

Certain Applications may include free trial periods.

Dextersoft may terminate free trials at any time.

Trial users may have limited functionality.

Data from expired trials may be deleted after a reasonable retention period.

12. Data Ownership

Companies retain ownership of all data they upload or generate.

Dextersoft does not claim ownership of Company business data.

Companies grant Dextersoft the right to process their data solely for providing the Platform and related services.

13. Data Security

Dextersoft implements commercially reasonable security measures to protect customer data.

However, no online service can guarantee absolute security.

Companies are responsible for:

maintaining secure passwords;
enabling available security features;
protecting their own devices and networks.
14. Availability

We aim to provide high service availability.

Maintenance, upgrades, security updates, or unforeseen technical issues may occasionally interrupt service.

Dextersoft does not guarantee uninterrupted availability.

15. Third-Party Integrations

Applications may integrate with third-party providers including payment gateways, government systems, cloud providers, communication services, artificial intelligence services, accounting software, or external APIs.

Dextersoft is not responsible for interruptions caused by third-party providers.

16. Acceptable Use

Users must not:

violate any laws;
upload malicious software;
interfere with the Platform;
reverse engineer the software;
copy or redistribute Applications;
attempt unauthorized access;
use the Platform for fraudulent activity;
overload or abuse Platform resources.

Violation may result in immediate suspension.

17. Intellectual Property

All Platform software, source code, designs, branding, documentation, trademarks, and related intellectual property belong to Dextersoft or its licensors.

No ownership rights are transferred to customers.

18. Backups

Dextersoft may perform backups for operational purposes.

Companies remain responsible for maintaining copies of any data critical to their business.

19. Suspension

Dextersoft may suspend access where:

invoices remain unpaid;
illegal activity is suspected;
security risks exist;
these Terms are violated;
government authorities require suspension.
20. Termination

Either party may terminate subscriptions according to the applicable cancellation policy.

Upon termination:

access to licensed Applications may end;
data retention periods may apply;
outstanding invoices remain payable.
21. Limitation of Liability

To the maximum extent permitted by law, Dextersoft shall not be liable for:

indirect damages;
loss of profits;
loss of revenue;
business interruption;
loss of goodwill;
loss of anticipated savings;
data loss resulting from customer actions or third-party failures.

Dextersoft's total liability shall not exceed the fees paid by the Company for the affected service during the twelve (12) months preceding the event giving rise to the claim.

22. Indemnification

Companies agree to indemnify and hold Dextersoft harmless against claims arising from:

misuse of the Platform;
violation of these Terms;
infringement of third-party rights;
unlawful activities conducted using the Platform.
23. Changes to the Platform

Dextersoft may:

introduce new Applications;
discontinue Applications;
modify features;
improve security;
change infrastructure;
release updates without prior notice where necessary.
24. Privacy

Use of the Platform is also governed by the Dextersoft Privacy Policy.

25. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe, unless otherwise required by applicable mandatory law.

Any disputes shall be subject to the jurisdiction of the competent courts of Zimbabwe.

26. Changes to These Terms

Dextersoft may update these Terms from time to time.

Updated Terms become effective once published on the Platform.

Continued use of the Platform constitutes acceptance of the revised Terms.
